The Little Church of the West is probably one of the most historical wedding chapels in Las Vegas. Around since 1942 this chapel, which is located on the South end of Las Vegas Strip, has married thousands of couples over the years including many celebrities. It is listed on the National Registry of Historical Places and is the oldest existing structure on the Las Vegas Strip.

Should You Use an LLC for Your Real Estate Investing? Probably-and Here's Why

Accountants and attorneys love limited liability companies. But do limited liability companies--LLCs for short--really make sense for real estate investors. Probably they do for two almost unknown reasons.

The Big Legal Benefit of an LLC: Limited Liability...

The big legal benefit of an LLC is that limited liability companies provide all the same liability protection as a corporation--but with much less red tape. A regular corporation, for example, requires regular stockholders meetings, a board of directors, regular board meetings, and of course records of all these activities and bodies. But a limited liability company doesn't.

This legal liability protection provided by an LLC can be extremely valuable. One local attorney I often collaborate with, for example, tells his clients that an LLC protects real estate investors from the worst case scenario--which in his mind is a "slip and fall" accident on the investor's property.

With an LLC as the property owner, so says my attorney friend, the "worst case scenario" is liquidation of the LLC. That liquidation means the people who own the LLC wind up with nothing--which isn't good. But all the owners lose is what they've invested in the LLC.

In comparison, without an LLC, the real estate investor's "worst case scenario" if there's a "slip and fall" accident is that the owner or investor can lose almost everything they own. In other words, the business owners or investors could lose not only their investment in the real estate property but many other assets.

Let me issue a caveat here, however. You may not get as much legal liability protection from an LLC as you want or hope. Say, for example, that you're repairing the roof on your apartment house and that, unfortunately, you happen to drop a hammer onto the tenant's head during the roofing project. Your LLC probably won't protect you from that sort of tort liability. In other words, the tenant can probably look not only to your LLC for payment of damages related to the dropped hammer but also to you personally.

And here's another example, which unfortunately makes things even murkier. What happens if someone working for you, one of your employees or subcontractors, drops a hammer on the tenant's head? The LLC may offer you some protection in this case. But you may still be personally responsible. The tenant might reasonably argue that you should have done a better job managing the employee or subcontractor, for example.

If you're extremely concerned about the asset protection features of setting up and operating an LLC, get an attorney involved in your real estate investment planning. An attorney knowledgeable in LLC and real estate law can help you increase the liability protection that you gain from using an LLC for your investing. And this consultation doesn't need to be particularly expensive. You may be able to buy an hour or two of time from a good local attorney and get all your LLC- and liability-related questions answers.

The Big Tax Benefit: Enormous Tax Flexibility...

A second benefit of LLCs relates to the income taxes that investors pay on profits and capital gains. A limited liability company can be almost whatever tax entity it wants to be for income tax purposes. A limited liability company that is owned by one person can be a sole proprietorship, a C corporation, or an S corporation. A limited liability company that is owned by two or more persons can be a partnership, a C corporation, or even an S corporation (if the LLC meets the S corporation eligibility requirements). This second benefit of the limited liability company means that an LLC can choose to be taxed in whatever way is most favorable to the investment or the owners.

For example, a very small real estate business with a single member (LLC owners are called "members"), might decide to be treated as a sole proprietorship for federal income tax purposes. This decision to be treated as sole proprietorship would keep the business's accounting very simple--and it would also mean that unique tax planning opportunities available to sole proprietorships can be used.

A larger real estate investment fund--perhaps one with several partners--might decide to operate as a C corporation or as an S corporation in order to take advantage of some of the unique tax planning advantages of these entity choices. A C corporation, for example, often lets businesses provide rich tax-free fringe benefits to employees including shareholder-employees. And an S corporation often lets a business dramatically reduce the self-employment, social security and Medicare taxes paid on the owner's profits.

Note: While a limited liability company is not difficult to set up by yourself--you can have the paperwork done less than a quarter hour from now--you should be aware that paying a few hundred dollars to an accountant to pick the right taxation for your new LLC might be the best investment you ever make. It's common that the right taxation choice for a new LLC can save the owner or owners of a small business $10,000 to $20,000 annually.

The Drawbacks of the Limited Liability Company Choice

When you consider the two big benefits of a limited liability company--limited liability but with less red tape and tremendous tax flexibility--you have almost the perfect investment entity choice. So an obvious question is "Why wouldn't every investor use an LLC or limited liability company?"

Perhaps predictably, there are some costs and headaches associated with operating as an LLC.

An LLC may increase your banking, accounting and insurance costs. For example, while the bank account for a sole proprietorship or informal partnership may be free if you keep a large-enough balance, the bank account for a limited liability company probably won't be free. The bank may charge $10, $20, even more each month.

While a sole proprietorship or informal real estate partnership may be able to keep its bookkeeping and income tax return preparation very simple, an LLC probably needs to file its own tax return if the LLC operates as a partnership, a C corporation or an S corporation. And this LLC tax return may cost anywhere from a few hundred dollars to a few thousand dollars annually.

Finally, it's worthwhile to note that an LLC may involve several hundred or even a few thousand dollars of startup expense. For example, you may spend money on publications like this. You may buy the services of accountants and attorneys. You will need to print new letterhead, business cards, and envelopes (if you use these) that use the new LLC's name in order to show the world that you're now operating as a limited liability company.

So where does all this leave you? How should you balance the big benefits of forming an LLC with all the costs and drawbacks? Unfortunately, I can't give you a one-size-fits-all answer. You'll need to carefully consider the benefits and costs as they add up in your specific situation.

I will share these thoughts, however. In my opinion, an LLC is uneconomical for very small real estate investments--unless there is only a single owner. For example, a real estate investor who owns one single-family home may not want to shoulder the hundreds of dollars of cost (or more?) incurred in setting up and operating an LLC. (Remember that this investor can use liability insurance to reduce his or her risk, too.)

On the other hand, any time you've got a large real estate investment--say multifamily housing--or any time you've got substantial wealth, an LLC economically reduces investment risk and as an added bonus can even save the owners thousands of dollars a year in income or payroll taxes.

Types of Ear Infections

In most cases, that other person will turn out to be your ex-spouse or your child's other parent.

The sting of lost custody in a separation or divorce can leave the spurned party grasping for straws, looking for any recourse in the face of child support, medical expenses and other court imposed childcare costs. The solution they are looking for can manifest itself during tax time when the opportunity to claim dependents is provided on the face of the 1040 Individual Income Tax Return. People get the mistaken impression, particularly when filing a self-prepared return, that filing a claim for dependent and the additional child tax credit is a race to beat the other by filing first. They couldn't be more mistaken. The IRS rules for claiming a dependent provides the custodial parent as the exclusive taxpayer able to make the claim on their children.

Determination of who the custodial parent can most easily be determined by a Court Order which names the custodian and thus the parent eligible to claim the dependents. But there are often cases where there is no Court Order; there is a situation where the parents are simply living apart; or the parents have shared custody. Who gets to claim the dependents then?

The IRS determines that the custodial parent is the parent with whom the child resides for the greater number of nights during the calendar year. (Code Sec. 152(e)(4)(A) , Reg. Sec. 1.152-4(d). ) The rules state "that a child resides for a night with a parent if the child sleeps (1) at the parent's residence (whether or not the parent is present), or (2) in the company of the parent when the child does not sleep at a parent's residence (for example, if the parent and child are on vacation)." The IRS Rules do not provide for both parents to claim dependents for the purpose of dependency exemption and the additional child tax credit.

The only way for a non-custodial parent to claim a child as a dependent is when the custodian signs a written declaration (in the manner and form that IRS prescribes) stating that they won't claim that child as a dependent for the tax year beginning in that calendar year. The prescribed form is IRS Form 8332, Release of Claim to Exemption for Child of Divorced or Separated Parents but the IRS allows substitute documents that conform in substance to Form 8332.

So what do you do when you receive the "You Need To Make Sure Someone Is Your Dependent" letter?

The IRS recommends that once you have verified that the dependent has been correctly claimed by you, no further action is required. But this will never serve as a deterrent to the offending party who may continue to file a fraudulent return resulting in the custodian receiving this notice year-after-year. The custodian should respond to the IRS letter stating in effect:

"I am the custodial parent based on the rules of IRC 152(e)(4)(A). The dependent spent X number of nights in my custody in tax year 20xx. Further, I have signed no documents releasing my custody of the dependent for the purpose of claiming a dependent exemption or the additional child tax credit."

This serves the purpose of getting your custodial claim on record. The custodian should also provide a copy of the response letter to the non-custodial parent as a further deterrent for future fraudulent filings. A pro-active custodian can quickly put to a stop any tax tricks tried by the Ex.

This blog is on cheap landscaping ideas. One of the main hassles of a garden is not planting, but weeding. Weeds grow with remarkable speed and can quickly overtake a garden. Using a poison or herbicide like roundup is not recommended as you might kill your plants. I know that the manufactors claim the product breaks down in the soil very quickly but I find with my lawn edges after a second dose of roundup no grass is growing there six months later.
In moving into a new rental property I had a large front garden with a nice quickkerb concrete border to highlight the beautiful weeds. So I began to weed, got sick of it and left it for a month. Big mistake, there were now more weeds than ever. I was going to have to have mulch it or spend everyday in the garden. With the landlord not interested in paying for it it was going to have to come out of my own pocket. Now I don't mine paying for gardening supplies, plants, etc when its my own place, but I'm certainly not keen on giving my landlord a free ride.
So I needed a cheap mulching option, that would look good, work, but not cost too much.
I chose three basic supplies, newspaper -the local rags free and it doesn't take long to build up a stock pile of papers, sugar cane mulch - its comes in a big bags and is cheap, and finally a few bags of bark - not so cheap, but as you will see its used to give colour not as a mulch so only a little bit is required.
Step One:-
Prepare the garden, yes this means a huge effort and weed the whole garden by hand. Rake over the soil so its nice and smooth and then apply the newspaper. The thicker the better.
Min. six sheets thick. Spread it out and then with a hose wet it all down so it soaked. The now heavy paper won't blow around in the wind and will mold better to the grounds surface.

Step Two:-
Next spread out the sugar cane mulch. If you cant access cheap sugar cane mulch, try straw, but ensure it has no seeds in it. Make sure all the paper is covered. It doesn't have to be deep, just enough to cover all the paper. Once again apply water to damp down the mulch. Once watered it takes on a lovely golden colour.

Step Three:-
Now apply the bark. Just grab handfulls and throw it around. You don't want to totally cover the yellow mulch, the barks mainly to give colour and to contrase with the mulch.

I have found this to be a very effective mulch. A year later and few weeds can get through. Nutgrass was the only successful one and I pulled those out by hand and even the nutgrass gave up the fight. The beautiful browns and golden colour unfortunately fade under the harsh sun, but by that time you should have plenty of flower to make up for it. Best of all - NO WEEDING, yes.

Recently, I received an interesting email in which a woman told me that when she was 10 years old, she was shown in a dream how one day she would have a son and he would die at a certain age in a specific fashion. She also reported that this did, in fact, occur. Her question to me was, "How can I believe the Law of Attraction is working when some things seem beyond our control?"

What's happening when we have dreams, premonitions or receive a prediction that something (usually unwanted) is going to take place in the future? Or when it does happen we remember having received foreknowledge?

Here are three things you might consider:

1. Time only exists here on earth for us humans. Quantum physics teaches that although everything; every event, every experience, every possibility exists at the same time--in the NOW--man has invented time: the past, the present and the future, to bring some sort of order into these experiences. Religions call this Eternity--the place where time has no beginning and no end.

2. The Law of Attraction teaches us that everything vibrates and every vibration affects all other vibrations. I like the way Abraham-Hicks put it: "Everything vibrates and is communicating, reacting, responding and integrating with other vibrating things." ~Well Being Cards

3. Our subconscious mind is directly connected to the Super Conscious Mind (Source, Higher Power, Inner Being and Holy Spirit) and we are all learning how to translate this information for "human consumption." Remember, the translator is a person with their own agenda, fears and ideas about the meaning of this information.

I have been experiencing dreams, visions and prophetic words since 1987--actually, I had many experience of this nature as a young child, followed by years of rare occurrences. What I've found is that ANY piece of information can be interpreted through a filter of fear or love. When it is filtered through fear, it usually brings an ominous feeling to the prediction. When it is filtered through love, the message uplifts, encourages and strengthens people. And the choice is in the hands of the interpreter. I have decided to interpret dreams, visions and prophecies in the most positive life-giving way! Any thing less does not feel good to me.

So, my answer to the question: "How can I believe the Law of Attraction is working when some things seem beyond our control?" is this--

All things are connected at Source. Believe the best interpretation you can give to your dreams, premonitions, and all such occurrences. And if the prediction should come true--or you receive an outcome which is different or less than you would have chosen--KNOW THIS: you are indeed blessed to have been PREPARED for this event.

When I was pregnant with my fourth child, Sarah, I had a premonition that something was not right with the child I was carrying. I even told one of my girlfriends, "You know how people say, 'I don't care if it's a boy or girl, as long as it's ok?' Well, I can't say that about this baby. I CAN say, 'I don't care if it's a boy or girl and it's ok if it is not ok.' All will be well." And of course, when Sarah was born it was still surprising that she was born with Down's Syndrome. And yet, I felt so SPECIAL, because I HAD been prepared.

I truly believe in the prevalence of Goodness. I believe the knowledge of an event before it occurs is a gift. Something in us attracted this knowledge so that we could consciously prepare for it. Does that mean we have no choice or say in such matters? Sometimes the vibration of another person becomes a part of our life and deep down inside of us, we DO have a corresponding harmonious vibration. Sarah chose to be born different genetically. Her true self wants to experience life here on earth different from most people. I have a vibration in me that loves her and wants to encourage and support her along her journey.

We are a perfect match. And all really is well.
